Terms & Conditions · Version TT-CSA-1.0
Effective date: At the time of the Client's acceptance
Service Provider: TalkTime [insert full registered legal entity name]
Website: www.talktimebpo.online
This Agreement is between TalkTime ("Provider") and the person or business submitting this form ("Client"). It applies to the services identified in the accepted quotation, invoice or order form, subject to applicable law.
1. Scope of Services
TalkTime may provide dialer hosting and configuration, webphone and SIP setup, VoIP connectivity, inbound numbers, calling routes, BPO solutions, AI voice services and related technical support. The exact scope, pricing, term, destinations, usage limits and delivery commitments are those stated in the applicable written quotation or order.
2. Client Information & Verification
The Client must provide accurate business, identity, contact and campaign information and promptly update any changes. The Provider may request reasonable KYC, business, campaign or authorization documents to verify the Client and comply with legal, carrier or supplier requirements. Activation may be delayed or declined if verification is incomplete or unsuccessful, subject to applicable law.
3. Acceptable Use & Prohibited Campaigns
Services may be used only for lawful, authorized business purposes. The Client must comply with applicable telecommunications, privacy, consumer protection, marketing and data-protection laws, and all relevant carrier and supplier requirements. Prohibited use includes:
- Scam, fraudulent, deceptive, misleading or impersonation campaigns.
- Phishing, identity theft, social engineering, unlawful collection of sensitive information, threats or extortion.
- Unlawful robocalling, unsolicited marketing, harassment, or calls lacking legally required consent.
- Unauthorized caller-ID manipulation, spoofing or number impersonation intended to mislead.
- Bypassing KYC, carrier restrictions, fraud controls, regulatory requirements or platform safeguards.
- Reselling, sublicensing, sharing or transferring services without written authorization.
4. Client Campaign Responsibility
The Client is responsible for its campaign purpose, scripts, claims, lead sources, consent records, suppression lists, agents, calling practices and the lawful use of data. The Client must honor opt-out requests and maintain records of consent where required. The Provider may request relevant evidence to investigate complaints, suspected abuse or compliance concerns.
5. Fraud Prevention, Suspension & Termination
If the Provider reasonably suspects fraud, scam activity, unlawful use, unauthorized access, material breach, security risk or a supplier/regulatory restriction, it may suspend, restrict or terminate the affected account, campaign, credentials, routes or services to the extent permitted by law. Where practicable and lawful, the Provider will notify the Client and may allow an opportunity to clarify or remedy the issue. Immediate action may be taken when reasonably necessary to prevent harm, fraud, security incidents or legal/supplier violations. Restoration is subject to review, remediation and any required supplier approval; it is not guaranteed.
6. Service Availability & Third-Party Networks
Call completion, audio quality, answer rates, connectivity and availability may depend on internet access, customer equipment, destination networks, carriers and third-party suppliers. Unless a separate written SLA expressly guarantees a metric, uninterrupted service, specific answer rates, campaign conversions, lead quality or business results are not guaranteed. The Provider will use reasonable efforts to investigate reported technical issues.
7. Pricing, Payment & Usage
The Client must pay the fees, subscriptions, configuration charges, usage, taxes and other amounts specified in the accepted quotation or invoice. Usage is calculated according to the applicable tariff, destination, billing increment and order terms. The Client should promptly report suspected billing errors or unauthorized use with supporting details. Undisputed amounts remain payable when due. Services may be restricted for overdue balances or exhausted prepaid credit, subject to applicable law and agreed notice requirements.
8. Cancellation & Non-Refundable Charges: Fees for completed configuration, installation, activation, delivered services, consumed usage and third-party costs already incurred are non-refundable to the extent permitted by applicable law and the disclosed order terms. Unused credits, deposits, subscriptions and undelivered services are governed by the applicable quotation, written terms and mandatory legal rights. Client dissatisfaction with campaign profitability or business results alone does not automatically establish a service defect or refund entitlement. Nothing in this clause removes any refund, remedy or right that the Client is legally entitled to receive.
9. Cancellation Requests & Exceptions
Cancellation requests must be submitted in writing to the Provider's designated contact. Any applicable outstanding charges, cancellation terms and refund entitlements will be assessed under the accepted order and applicable law. A replacement, extension, credit or goodwill exception is valid only when expressly approved in writing by an authorized Provider representative.
10. Security, Credentials & Client Equipment
The Client must protect account credentials, SIP passwords, administrator access and devices, and promptly report suspected compromise. The Client is responsible for compatible equipment, reliable internet, authorized users and accurate technical information. Additional work outside the agreed scope may require a separate quote and approval.
11. Privacy & Confidentiality
Each party must protect the other party's confidential business and technical information and use it only for legitimate purposes connected with the services, subject to lawful disclosures. The Client must have the necessary rights and lawful basis to submit or process contact lists, recordings and personal data. Operational logs, call records and service data may be processed or retained for delivery, billing, support, security, fraud prevention and legal compliance, in accordance with applicable law.
12. Intellectual Property
Each party retains its pre-existing intellectual property. The Client receives a limited right to use the purchased services during the agreed term. Third-party software and platforms remain subject to their respective license terms. The Client may not misuse, resell, copy or redistribute Provider materials except as expressly authorized or permitted by law.
13. Liability & Indemnity
To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits or business opportunities. The Client is responsible for its campaigns, data, agents and legal compliance and shall, to the extent lawful, indemnify the Provider against third-party claims arising from the Client's unlawful activity, infringement or material breach, except to the extent caused by the Provider's own breach, negligence or unlawful conduct. Nothing excludes liability that cannot legally be excluded.
14. Force Majeure
Neither party is responsible for delay or interruption caused by events beyond its reasonable control, such as widespread network outages, supplier failures, natural disasters, government actions or other qualifying force majeure events, subject to applicable law.
15. Complaints & Disputes
Service or billing concerns should first be submitted in writing with relevant account details and evidence. The parties will attempt to resolve disputes in good faith. This Agreement is governed by the laws of Pakistan unless another lawful written arrangement applies. Nothing restricts mandatory statutory rights or access to competent regulatory or judicial forums.
16. Electronic Acceptance & Agreement Records
Where legally recognized, the Client's affirmative checkbox, typed name, date/time, submitted details and the version of the Agreement presented may be retained as evidence of acceptance, subject to applicable law and the reliability of the electronic process. The complete Agreement must be available before acceptance, and the Client may request a copy.
17. Entire Agreement & Amendments
This Agreement together with the accepted quotation, order form, invoice, SLA and signed addenda constitutes the agreement for the relevant services. A specifically negotiated signed order or addendum prevails for the terms it expressly addresses. Material amendments will be communicated and accepted where required by law or contract. If any provision is unenforceable, the remainder continues to apply to the extent permitted by law.
Client Acknowledgment: By accepting below, the Client confirms the information is accurate, it is authorized to enter the Agreement, it will use services lawfully, has reviewed the applicable charges and terms, and has had a reasonable opportunity to read and retain this Agreement.
